1. प्रमोटर को वरीयता के आधार पर अंक/प्रमोटर समूह और अन्य संस्थाओं वरीयता मुद्दे अध्याय के अनुसार 13 प्रतिभूति और विनिमय बोर्ड ऑफ इंडिया के (प्रकटीकरण और निवेशक संरक्षण) दिशानिर्देश, 2000, तक के अनुसार 16,00000 वारंट जारी करने होंगे।

2. बोर्ड ने एक असाधारण जनरल कंपनी के शेयरधारकों की बैठक का आयोजन 30 मई, 2009 को अन्य बातों के साथ आयोजित किया जाएगा और अपेक्षित स्वीकृति प्राप्त करने के लिए मंजूरी दी जाएगी।

Valecha Engineering Ltd has informed that the Board of Directors of the Company at its meeting held on April 30, 2009, inter alia, has approved the following:
1.Issue on Preferential basis to the promoter / promoter groups and other entities in accordance with the Guidelines for Preferential Issues contained in Chapter XIII of the Securities and Exchange Board of India (Disclosure and investor Protection) Guidelines, 2000, upto 16,00,000 warrants.
2.The Board has also approved convening of an Extraordinary General Meeting of the shareholders of the Company to be held on May 30, 2009, inter alia, for obtaining the requisite approval.
